• “Subcontractor”: An independent contractor hired by us to perform tasks.
• “Services”: AI-related offerings, including data curation, tutoring, moderation, and NLP services.

2. Services for Clients

• Ordering: Clients may submit project requests via our website or agreed channels. We will provide a scope, timeline, and cost estimate.
• Payment: Fees are due as outlined in your project agreement. Late payments may incur a 5% fee.
• Deliverables: We aim to meet agreed specifications, but results depend on the quality of data or instructions you provide.
• Ownership: Upon full payment, you own the deliverables, excluding our proprietary tools or methods.

3. Subcontractor Responsibilities

• Engagement: Subcontractors are independent contractors, not employees. You are responsible for your own taxes and compliance with local laws.
• Tasks: You agree to complete assigned tasks per our instructions and deadlines.
• Confidentiality: You must not disclose client data or project details to third parties.
• Payment: We pay you per agreed rates and schedules, typically via bank transfer, PayPal or similar as defined minus applicable fees.

4. General Obligations

• Acceptable Use: You may not use our services for illegal, harmful, or unauthorized purposes such as uploading malicious content or copyright infringement.
• Accuracy: You must provide accurate information to us (e.g., client specs, subcontractor qualifications).

5. Intellectual Property

• Our IP: Our website, tools, and processes remain our property.
• Client IP: We do not claim ownership of data you provide, but we may use it to fulfill your project.
• Subcontractor Work: Work you create for us is assigned to us or our clients as needed.

6. Confidentiality

We and our subcontractors will protect your sensitive information, using it only as required for the project.

7. Limitation of Liability

• Our services are provided “as is.” We are not liable for indirect damages (e.g., lost profits) or issues beyond our control (e.g., third-party data breaches).
• Liability is capped at the amount you paid us in the last 3 months.

8. Termination

• Clients: You may cancel a project with 10 days notice, subject to fees for work completed.
• Subcontractors: We may terminate your engagement for poor performance or breach of these Terms.
• We may suspend services for non-payment or violation of these Terms.

9. Dispute Resolution

Disputes will be resolved through [e.g., negotiation, then arbitration in the United States under Delaware law.

10. Changes to Terms

We may update these Terms. Continued use of our services after changes constitutes acceptance.
